NOTICE OF EXTRAORDINARY GENERAL MEETING
CISPA is holding an Extraordinary General Meeting (EGM) on Tuesday, September 22, 2020 at 9:30 am to amend CISPA’s articles of association. At the EGM, CISPA will propose a special resolution to reduce the current minimum number of directors of CISPA from eight to three.
In light of the current social distancing requirements, the EGM will be held virtually. Please register your intention here to attend by 9am on Monday, September 21, 2020 so that we can provide you with the Zoom link.
Nominations to the board are still open, so please submit a nomination form if you are interested in joining the 2020-2021 CISPA board. More information can be found on this page.
SPECIAL RESOLUTION
Reference is made to the notice of an Extraordinary General Meeting of The Canadian International School Parents’ Association Limited (“Association”) dated 30 August 2020 pursuant to which the Association proposes to convene an EGM on Tuesday, September 22, 2020 at 9:30 am.
WHEREAS, pursuant to Clause 54 of the Articles of the Association (“Articles”), the Board may summon a general meeting for the purpose of sanctioning a decrease in the number of Directors on the Board;
AND WHEREAS, the Board deems it appropriate and in the best interests of the Association to decrease the authorized number of directors;
NOW, THEREFORE, BE IT RESOLVED, that pursuant to Clause 54 of the Articles, the Board hereby amends Clause 39 of the Articles and fixes that the number of Directors shall not be less than three nor more than fifteen.
